UK Customers: Prices include VAT (Value Added Tax) at the applicable rate for UK customers where required by law. VAT will be shown separately on your invoice.

You are responsible for any import duties, taxes, or fees charged by your country. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes. This license does not include any right to:
- Resell or make commercial use of our Services or content

 - Make derivative use of our Services or content
 - Download or copy content for the benefit of any third party
 - Use data mining, robots, or similar data gathering tools

14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONEWELL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) our Services
 - Any conduct or content of any third party on our Services
 - Any content obtained from our Services
 - Unauthorized access, use, or alteration of your transmissions or content
 
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to defend, indemnify, and hold harmless Onewell, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our Services
 - Your violation of these Terms
 - Your violation of any third-party rights, including intellectual property rights
 - Any content you submit to our Services
 - Any willful misconduct by you
 
16. DISPUTE RESOLUTION AND GOVERNING LAW
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
16.2 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
16.3 Consumer Rights
If you are a consumer (as defined under the Consumer Rights Act 2015), nothing in these Terms affects your statutory rights under UK consumer protection law, including but not limited to:
- Your right to receive goods that are of satisfactory quality, fit for purpose, and as described
 - Your right to a repair or replacement if goods are faulty
 - Your right to a refund in certain circumstances
 - Your rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013
 - Your right to bring proceedings in the courts of the part of the UK where you live
 
16.4 Alternative Dispute Resolution
If you are a consumer and wish to complain about our services, please contact us first so we can try to resolve the issue. If we cannot resolve the dispute, you may be able to refer the matter to the relevant Alternative Dispute Resolution (ADR) body. You can also access the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr (although this is no longer mandatory post-Brexit, it remains available).
17. TERMINATION
17.1 Termination by Us
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your account at any time by contacting us or using the account deletion feature if available.
17.3 Effect of Termination
Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
18. FORCE MAJEURE
We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices or policies published on our Services, constitute the entire agreement between you and Onewell regarding our Services.
22. ASSIGNMENT
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
23. NO AGENCY
No agency, partnership, joint venture, or employment relationship is created between you and Onewell as a result of these Terms or your use of our Services.
24. ELECTRONIC COMMUNICATIONS
You consent to receive electronic communications from us, including emails and notices posted on our Services. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
25. FEEDBACK
We welcome your feedback and suggestions. By providing feedback, you grant us the right to use, modify, and incorporate such feedback without compensation or obligation to you.
26. SURVIVAL
All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

28. SPECIFIC PROVISIONS
28.1 UK Consumer Rights
If you are a consumer in the United Kingdom, you have legal rights under the Consumer Rights Act 2015 and other consumer protection legislation. These Terms do not affect those statutory rights. In particular:
- Goods must be as described, fit for purpose, and of satisfactory quality
 - Digital content must be as described, fit for purpose, and of satisfactory quality
 - Services must be performed with reasonable care and skill
 - You have the right to a 14-day cooling-off period for distance sales (subject to certain exceptions)
 - If goods are faulty, you may be entitled to a repair, replacement, or refund

28.2 Distance Selling Regulations
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your order within 14 days of receiving your goods without giving any reason.
